Terms of Engagement

FUNDRAISING READINESS DIAGNOSTIC

These terms govern every FRD engagement. They are accepted at the time of purchase. Plain language is intentional — these terms are designed to be read and understood, not obscured.

Parties

These Terms of Engagement (“Terms”) govern the Fundraising Readiness Diagnostic (“FRD” or “the Assessment”) provided by Gor-ra-sit Vongfak (also known as Gorrasit Vongfak), operating through VRDD LLC dba The KAWI Agency (“KAWI,” “we,” or “us”), to the purchasing organization (“Client” or “you”).

By completing a purchase, Client agrees to these Terms in full.

What Is Delivered

Every completed FRD engagement produces the following deliverable(s):

  • A slide-format presentation overview (PowerPoint)

Deliverable(s) are calibrated to the Client’s organization, mission vertical, revenue tier, and primary fundraising pressure. Delivery occurs within five (5) business days of purchase, or within five (5) business days of the return of optional intake questions if the Client elected the intake path at checkout.

Intellectual Property Ownership

The Fundraising Readiness Diagnostic methodology, phase architecture, signal system, inference protocol, confidence classification framework, benchmark application logic, and all associated intellectual property (“the Methodology”) are owned exclusively by Gor-ra-sit Vongfak (also known as Gorrasit Vongfak) and are exclusively licensed to VRDD LLC dba The KAWI Agency for commercial use.

Purchase of an FRD assessment does not transfer, assign, or sublicense any rights to the Methodology. Client receives the deliverable documents produced by applying the Methodology to their organization — not the Methodology itself.

Unauthorized reproduction, adaptation, reverse engineering, resale, or sublicensing of the Methodology or any derivative work is strictly prohibited and may result in legal action.

Client Use Rights

Client is granted a non-exclusive, non-transferable right to:

  • Use the deliverable documents internally for organizational decision-making

  • Share the deliverables with board members, leadership, and internal staff

  • Act on the findings and recommendations contained within the deliverables

Client may not:

  • Distribute the deliverables publicly or share them with external parties outside the organization without prior written consent from KAWI

  • Reproduce, publish, or reference specific findings from the assessment in marketing materials, press releases, or public communications without prior written consent

  • Resell, sublicense, or transfer the deliverables to any third party

  • Use the deliverables as the basis for developing a competing diagnostic methodology or product

Confidentiality

Both parties agree to maintain the confidentiality of information disclosed in connection with this engagement.

KAWI agrees not to disclose Client-specific findings, organizational data, or intake information to any third party without Client’s prior written consent, except as required by law.

KAWI reserves the right to reference the engagement in aggregate, anonymized form — for example, in case studies, methodology development, or thought leadership — provided that no information identifying the Client organization is disclosed. KAWI will request explicit consent before referencing the engagement in any named or identifiable context.

Scope Boundary & Methodology Limitations

The FRD is a structured diagnostic built from direct observation of publicly accessible digital assets. It does not include:

  • Access to internal analytics, CRM data, or donor database records

  • Email, direct mail, or paid media performance data

  • Grant pipeline or funder relationship assessment

  • Legal, financial, compliance, or tax counsel

Findings marked Inferred connect observable conditions to documented sector benchmarks. They should be validated with internal data before action is taken. Findings marked Flagged require internal data to confirm and should not be acted on without further validation.

The Assessment reflects the Client’s digital posture as it exists at the time of evaluation. KAWI is not responsible for changes to the Client’s digital presence that occur after the assessment date.

Payment & Refund Policy

Payment is collected in full at the time of purchase. The flat fee of $750 covers one assessment for one organization.

Refunds are not available once assessment work has begun. If KAWI determines prior to commencing work that the FRD is not an appropriate diagnostic for the Client’s situation, a full refund will be issued.

Limitation of Liability

The FRD is a diagnostic tool. Findings and recommendations are provided for informational and strategic purposes only. KAWI makes no guarantee of specific fundraising outcomes resulting from implementation of recommendations.

KAWI’s total liability for any claim arising from this engagement is limited to the amount paid for the assessment.

Governing Law

These Terms are governed by the laws of the State of California. Any disputes arising from this engagement will be resolved in the courts of Los Angeles County, California.
